Terms & Conditions of Purchase

These Terms & Conditions of Purchase ("Terms") govern all purchases of Shell Lubricants and related products ("Products") from Grand Wealthy Holdings Limited, an authorized Shell Lubricants Distributor in Hong Kong ("We," "Us," or "Our"). By placing an order or making a purchase through our website (gwlubricant.com), phone, email, or any other means, you ("You" or "Buyer") agree to be bound by these Terms. If you do not agree, please do not proceed with your purchase. These Terms form a binding contract between You and Us.

  1. Definitions

    • Products: Shell Lubricants, including but not limited to Shell Rimula R4 X 15W-40, Shell Helix, Shell Tellus, and other lubricants distributed by Us.
    • Order: Any request to purchase Products, whether via the website, email, phone (+852 2728-7138), or in writing.
    • Hong Kong: Refers to the Hong Kong Special Administrative Region.

  2. Order Placement and Acceptance

    • Orders are subject to acceptance by Us. We reserve the right to refuse or cancel any Order at our sole discretion, including due to product availability, pricing errors, or suspected fraud.
    • Upon acceptance, We will send an order confirmation via email or other means. No Order is binding until confirmed.
    • All Orders are subject to stock availability. If a Product is unavailable, We will notify You and offer alternatives or a full refund.
    • Product descriptions, including those from Safety Data Sheets (SDS) such as for Shell Rimula R4 X 15W-40, are provided for informational purposes only. Refer to the SDS for detailed handling, storage, and safety guidelines (e.g., use protective gloves for skin contact, as noted in Section 8 of the SDS).

  3. Pricing and Payment

    • Prices are quoted in Hong Kong Dollars (HKD) and exclude applicable taxes (e.g., VAT if applicable), shipping, handling, or duties unless stated otherwise.
    • Prices are subject to change without notice, but changes will not affect confirmed Orders.
    • Payment must be made in full at the time of Order unless credit terms are pre-approved in writing. Accepted methods include bank transfer, credit card, or other agreed methods.
    • Overdue payments may incur interest at 1.5% per month or the maximum rate permitted by Hong Kong law. We reserve the right to suspend deliveries or cancel Orders for non-payment.

  4. Delivery and Shipping

    • Delivery is available within Hong Kong only, unless otherwise agreed. International shipping may be arranged at additional cost and subject to export regulations.
    • Delivery times are estimates and not guaranteed. Delays due to force majeure (e.g., natural disasters, strikes) or carrier issues are not Our responsibility.
    • Risk of loss or damage passes to You upon delivery to the specified address. Inspect Products upon receipt and report any defects or discrepancies within 7 days to kk.lo@gwhl.org or Phone: +852 2728-7138.
    • Shipping complies with local and international standards for lubricants (e.g., non-hazardous as per Section 14 of the Shell Rimula SDS). You are responsible for any customs duties or import fees.

  5. Returns, Refunds, and Warranties

    • Returns: Returns are accepted only for defective, damaged, or incorrect Products within 14 days of delivery. Products must be unused, in original packaging, and accompanied by proof of purchase and the relevant SDS. Contact Us at +852 2728-7138 for return authorization.
    • Refunds: Approved refunds will be processed within 30 days via the original payment method, less shipping costs unless the issue is Our fault.
    • Warranties: Products are warranted by Shell as per their specifications (e.g., Shell Rimula R4 X 15W-40 meets API CI-4/SL standards). We provide no additional warranties. Any implied warranties are limited to the extent permitted by Hong Kong law (e.g., Sale of Goods Ordinance). You must use Products in accordance with SDS guidelines (e.g., avoid prolonged skin contact, as per Section 4 of the SDS).
    • Non-returnable items include opened, used, or custom-ordered Products unless defective.

  6. Product Use and Safety

    • Products are for professional or commercial use only, as per SDS recommendations (e.g., Shell Rimula is for engine oil use; see Section 1). Only trained personnel should handle Products (inspired by Section 16 of similar SDS documents).
    • Follow all safety guidelines in the provided SDS, including personal protective equipment (PPE) such as gloves and eye protection (Section 8), storage in cool, ventilated areas (Section 7), and disposal as non-hazardous waste (Section 13).
    • We are not liable for misuse, improper storage, or failure to follow SDS instructions (e.g., avoid contact with strong oxidizing agents, as per Section 10).

  7. Limitation of Liability

    • To the fullest extent permitted by Hong Kong law, Our liability is limited to the purchase price of the Products. We are not liable for indirect, consequential, or incidental damages, including loss of profits, equipment downtime, or environmental harm.
    • You agree to indemnify Us against claims arising from Your misuse of Products or failure to comply with SDS guidelines.
    • As per SDS disclaimers (e.g., Section 16), information is provided "as is" without warranty of accuracy or suitability for specific applications.

  8. Intellectual Property and Confidentiality

    • Shell trademarks (e.g., Shell Rimula) are owned by Shell Brands International AG and used under license. You may not use them without permission.
    • Any confidential information shared during purchase (e.g., pricing) must be kept confidential.

  9. Force Majeure

    • We are not liable for delays or failures due to events beyond Our control, including pandemics, wars, or supply chain disruptions.

  10. Governing Law and Dispute Resolution

    • These Terms are governed by Hong Kong law. Disputes shall be resolved exclusively in Hong Kong courts.
    • If any provision is invalid, the remainder remains enforceable.

  11. Changes to Terms

    • We may update these Terms at any time. Changes will be posted on the website with the updated date. Continued purchases constitute acceptance.
